JA Solar Technology Co., Ltd.

and Chint New Energy Technology Co., Ltd.

隨著全球能源轉(zhuǎn)型加速，中國(guó)光伏產(chǎn)業(yè)正在邁入以技術(shù)創(chuàng)新引領(lǐng)的“質(zhì)量躍升”新階段。晶澳太陽(yáng)能科技股份有限公司（以下簡(jiǎn)稱(chēng)“晶澳科技”）與正泰新能科技股份有限公司（以下簡(jiǎn)稱(chēng)“正泰新能”）作為行業(yè)的重要推動(dòng)者，始終秉持創(chuàng)新驅(qū)動(dòng)的發(fā)展理念，持續(xù)加大研發(fā)投入，完善全球知識(shí)產(chǎn)權(quán)布局，打造維護(hù)尊重和保護(hù)知識(shí)產(chǎn)權(quán)的市場(chǎng)環(huán)境，共同致力于推動(dòng)產(chǎn)業(yè)技術(shù)進(jìn)步與可持續(xù)發(fā)展。

As the global energy transition accelerates, China’s photovoltaic industry is entering a new phase marked by higher quality and innovation-driven growth. JA Solar Technology Co., Ltd. (hereinafter referred to as “JA Solar”) and Chint New Energy Technology Co., Ltd. (hereinafter referred to as “Astronergy”), as key industry promoters, have consistently prioritized technological innovation, increased investment in R&D, and strengthened their global intellectual property portfolios. Both parties are committed to fostering a market environment that upholds and safeguards intellectual property rights. Both companies remain committed to advancing PV technologies and supporting the sector’s long-term sustainable development.

2025年11月29日，晶澳科技與正泰新能聯(lián)合宣布：雙方及雙方關(guān)聯(lián)公司（以下簡(jiǎn)稱(chēng)“雙方”）針對(duì)在全球范圍內(nèi)正在進(jìn)行的專(zhuān)利糾紛已達(dá)成和解。

Building on mutual agreement, on November 29, 2025, JA Solar and Astronergy jointly announced that the two companies and their affiliates (hereinafter referred to as “Two Sides”) have reached a settlement regarding the patent disputes currently ongoing worldwide.

根據(jù)和解協(xié)議，雙方同意：終止在全球范圍內(nèi)正在進(jìn)行的全部專(zhuān)利糾紛法律程序，并就雙方各自持有的TOPCon專(zhuān)利達(dá)成交叉許可；而且雙方承諾，在全球范圍內(nèi)不再就TOPCon專(zhuān)利向?qū)Ψ教崞鹑魏螌?zhuān)利相關(guān)的訴訟或其他程序。

Under the terms of the agreement, the Two Sides agree as follows:

? All ongoing legal proceedings relating to patent disputes worldwide shall be terminated;

? The Two Sides have reached an agreement on cross-licensing of TOPCon-related patents owned by each side;

? For the term of the agreement, the Two Sides undertake that, in the future, neither shall initiate any litigation or other proceedings against the other in any jurisdiction worldwide in relation to TOPCon-related patents.

此次和解的達(dá)成，是雙方守正創(chuàng)新、互利共贏的務(wù)實(shí)體現(xiàn)，也為行業(yè)構(gòu)建健康、可持續(xù)的知識(shí)產(chǎn)權(quán)合作模式樹(shù)立典范；雙方將立足新起點(diǎn)，凝心聚力，持續(xù)強(qiáng)化前沿技術(shù)研發(fā)，推動(dòng)高效光伏技術(shù)商業(yè)化落地與場(chǎng)景創(chuàng)新，并攜手開(kāi)拓更深層次、更寬維度的戰(zhàn)略協(xié)同。

The successful conclusion of this settlement reflects the Two Sides’ commitment to integrity, innovation, mutual benefit, and pragmatic cooperation. It sets a positive example for establishing a healthy and sustainable intellectual property cooperation model within the industry. Moving forward from this new starting point, the Two Sides will continue to focus their efforts on strengthening R&D in cutting-edge technologies, promoting the commercialization and application of high-efficiency PV technologies, driving scenario-based technological innovation, and jointly exploring deeper and broader strategic collaboration.
